HemeraScope Supplier Participation Terms

These terms govern your participation as a supplier in HemeraScope. They apply when you provide product, emissions, or company information to HemeraScope, whether through a data request, an engagement portal link, an upload, or by responding to an email from us. They are separate from, and additional to, the terms that apply to our customers. By providing information to HemeraScope you agree to these terms.
1. Definitions
- Hemera, we, us, our — Hemera Intelligence Limited, a company registered in England and Wales (company number 17198795), registered office 167-169 Great Portland Street, London, W1W 5PF, England.
- Supplier, you, your — the organisation providing information to HemeraScope.
- Customer — an organisation that uses HemeraScope and has identified you as one of its suppliers.
- Supplier Information — any data you provide to HemeraScope, including product carbon footprints, emissions data, energy and activity data, company details, documents, and supporting evidence.
- Aggregated Data — data derived from Supplier Information that has been combined with other data and irreversibly anonymised so that it does not identify you or any individual.
2. What HemeraScope is and is not
2.1 HemeraScope is an analytics product that helps organisations estimate the carbon footprint of their spend and supply chain. It applies recognised but approximate methodologies to information provided by customers, suppliers, and third-party sources.
2.2 HemeraScope does not constitute legal, financial, tax, investment, or regulatory advice, and is not an audit, assurance, certification, or verification of any figure or of your business. Hemera is not an auditor, verifier, certifier, or assurance provider.
2.3 Pilot status.HemeraScope is currently provided on a pilot basis. The service and any outputs are provided "as is" during the pilot, may contain errors or incomplete functionality, and may be modified, suspended, or withdrawn at any time.
3. Ownership of your information
3.1 You retain all ownership of, and intellectual property rights in, your Supplier Information. Nothing in these terms transfers ownership of your Supplier Information to Hemera.
3.2 Hemera owns all intellectual property in the HemeraScope platform, its calculation engine and methodology, and any Aggregated Data, benchmarks, and reference datasets it generates. Your licence to us under Section 4 does not extend to any of these.
4. Licence you grant to Hemera
4.1 You grant Hemera a non-exclusive, worldwide, royalty-free licence to host, store, process, analyse, and use your Supplier Information in order to provide and improve the Services, develop and operate the methodology and platform, and carry out our internal business activities.
4.2 Subject to your confidentiality protections in Section 6 and to applicable data protection law, this licence includes the right to use your Supplier Information in Aggregated Data. Aggregated Data does not identify you and may be retained and used by Hemera indefinitely.
5. Sharing with customers and reuse
5.1 You acknowledge that the purpose of providing Supplier Information is, in most cases, to allow a Customer to account for the emissions associated with goods or services you supply to them. Where you provide Supplier Information in response to a specific Customer request, you permit Hemera to share the relevant Supplier Information, and outputs derived from it, with that Customer.
5.2 Where the same Supplier Information is relevant to more than one Customer (for example, a product carbon footprint for a product you sell to several Customers), you permit Hemera to reuse that Supplier Information across the relevant Customer workspaces, so that you are not asked to provide the same information repeatedly. If you do not want particular Supplier Information reused in this way, tell us when you provide it.
5.3 We will not publish your Supplier Information to the general public without your consent. Aggregated Data, which does not identify you, is not subject to this restriction.
6. Confidentiality
6.1 We will treat Supplier Information that is not already public, and that you have not agreed may be shared, as confidential, and will apply appropriate technical and organisational measures to protect it.
6.2 We may disclose Supplier Information to the Customers permitted under Section 5, to our sub-processors who help us operate the platform under equivalent confidentiality obligations, and where required by law or a regulator.
7. Accuracy of information
7.1 You will use reasonable care to ensure the Supplier Information you provide is accurate and complete to the best of your knowledge, and that you are entitled to provide it.
7.2 Hemera is entitled to rely on the Supplier Information you provide and, unless expressly agreed in writing, is under no obligation to independently verify it. The quality of the outputs depends on the quality of the information provided.
8. Data protection and retention
8.1 Where Supplier Information includes personal data, we process it in line with our Privacy Policy. Personal data is retained only for as long as needed for the purposes for which it was collected.
8.2 Non-personal Supplier Information may be retained for as long as needed for our business purposes, including in Aggregated Data as described in Section 4.
9. Disclaimers and liability
9.1 The outputs of HemeraScope are estimates provided for informational purposes only and do not constitute professional advice. No third party may rely on outputs derived from your Supplier Information except as permitted under these terms or as we otherwise agree in writing.
9.2 To the extent permitted by law, Hemera is not liable to you for any indirect or consequential loss, or for loss of profits, revenue, or goodwill, arising from your participation. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot be limited by law.
10. Ending participation
10.1 You may stop participating at any time by contacting us at hemerascope@gmail.com. On request we will stop using your Supplier Information for new processing, subject to our right to retain Aggregated Data and to retain records where required by law.
11. General
11.1 These terms are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction. We may update these terms from time to time; the version in force is the one published here when you provide Supplier Information.
